Official Handbook
The foundational rules and guidelines for all Vulps Industries members.
1. Mission Statement
Our Organisation is focused on Industrial gameplay loops. We strive to be a dominant force in the verse's economy through hauling, mining, and salvage operations and most importantly, have fun doing it. To ensure the security of our assets and personnel, we may contract with specialized third-party organisations for defence, escort, and rescue services.
2. Organizational Structure
The CEO
The CEO holds the ultimate authority within Vulps Industries. They are responsible for appointing the Board of Directors and must be present at all official meetings for decisions to be considered valid. In shareholder votes, the CEO's vote counts twice in the event of a tie.
Board of Directors
The Board is responsible for the high-level strategic direction of Vulps Industries. Board Members are chosen by the CEO and may operate on a "trial" basis until confirmed by a shareholder vote at the next AGM or QGM.
Board members are also granted a formal role within the RSI organization, which grants specific permissions on Spectrum. These will be discussed upon your confirmation to the board by the shareholders.
Board Responsibilities:
- Moderating Public Areas: Ensuring the main channels of the Discord server remain civil and follow community guidelines.
- Strategic Planning: Participating in the development of the long-term goals and overall direction of Vulps Industries.
- Contract Negotiation: Identifying potential partnerships and negotiating mutually beneficial agreements with other organisations.
- Policy & Guideline Setting: Establishing and maintaining internal rules and best practices.
- Charter Review and Amendments: Leading the process of examining the organization's foundational rules and proposing changes for shareholder consideration.
- High-Level Dispute Resolution: Intervening in significant conflicts that cannot be resolved by lower ranks.
- Representation: Acting as the official voice of Vulps Industries when interacting with external entities.
- Director Oversight: Providing guidance, support, and evaluation for the leaders of the different industrial divisions.
- Major Event Oversight: Providing high-level planning, support, and review for significant organizational events.
- Reviewing Promotion Recommendations: Assessing the merits of members nominated for promotion.
- Upholding Core Values: Serving as visible examples of our core values.
- Ensuring Member Enjoyment: Taking steps to maintain a positive and engaging environment for all members.
Operational Directors
Directors manage the day-to-day operations of their specific industrial divisions. Each Director is voted on by the Board. There must always be two Board Member slots available for each Director, and a Director cannot simultaneously serve as a Board Member.
Director Responsibilities:
- Arranging and managing regular events and training sessions within their division.
- Moderating all Discord channels related to their division.
- Managing channels and information within their division's Discord category.
- Recommending deserving @Members for promotion by submitting their name in the board agenda channel.
- Promoting and demoting @Members within their division as they see fit.
Members & Share Holders
- @Member: The standard rank for all active and vetted participants of Vulps Industries.
- @Share Holder: This rank is granted to anyone who boosts the Discord server. Shareholders have the right to vote on organisational matters at AGMs and QGMs. You do not need to be a @Member to gain the privileges of a @Share Holder.
3. Governance & Meetings
Annual General Meeting (AGM)
An in-person "Annual General Meeting" will be held once per year for shareholders to vote on the decisions and policies of the board.
- Date: The 1st of May, or the nearest weekend immediately before it.
- Location: In-game at the company HQ in Orison, Crusader, Stanton.
- Agenda: The board will release the official agenda one month prior to the meeting.
Quarterly General Meeting (QGM)
For urgent matters that cannot wait for the AGM, the board may call a "Quarterly General Meeting."
- Frequency: A QGM may be called once per calendar quarter.
- Scope: These meetings will focus on a smaller, more immediate set of issues.
- Rules: All rules and procedures from AGMs apply to QGMs.
Meeting Validity
For any decisions made during a Board Meeting, Directors Meeting, AGM, or QGM to be considered valid and actionable, the @CEO must be in attendance.
4. Operational Protocols
Op Leadership (The "Primary" Rule)
All activities carried out by Vulps Industries employees are considered "Operations (Ops)". The individual who organises or suggests the activity is the Operation's "Primary".
- The Primary's scope encompasses the entire operation. They are the main decision-maker for the overall objectives and plan.
- Members joining an ongoing Op must identify the Primary and ask for direction. They should not suggest new activities or change the plan without the Primary's consent.
- If the Primary gives a task or makes a decision regarding the Op's strategy or objective, that decision is final.
On-Ship Command (The "Captain" Rule)
When operating as a crew within a single ship, the highest-ranking operative is considered the "Captain" for that vessel.
- The Captain's scope is limited to their vessel. They are the final decision-maker for all on-board activities and may "pull rank" on their crew if required.
- The Primary of an Op gives strategic orders to the Captain(s) involved (e.g., "Proceed to the station and unload"). The Captain then gives tactical orders to their crew to execute that command (e.g., "You, take the pilot's seat").
- Captains should remember that our first priority is to have fun and should keep this in mind when issuing orders.
If a @Member is "on loan" to a @Contract Rep and the ship belongs to the representative, the @Member's internal rank is irrelevant. The contract representative decides who the captain is.
Third-Party Contracts
We may contract with external organizations for specialized services.
- These organizations will be represented by individuals with the @Contract Rep role.
- All contracts are stored in the
#contractsforum channel, which is viewable by @Managers and above. - Threads within the
#contractschannel also serve as a direct line of communication with that contract's representative.
5. Loot & Profit Distribution
Monetary Profit (aUEC)
For all operations, monetary profit must be logged and distributed using `regolith.rocks`.
- The Primary of the operation is responsible for setting up a
regolith.rockssession before the Op begins. - This tool serves as our official invoicing system and ensures a fair and transparent distribution of all acquired wealth.
- Stressing this point: Using a Regolith session is mandatory. It is the primary tool for handling any potential disputes over payment. If your work is not logged in a session, you may not have a claim to any profits.
- For this reason, non-primary participants should insist their primary sets up a Regolith session before they participate in the op.
Physical Loot
All physical loot, including guns, armour, personal tools, and ship components, is considered "finders keepers." The member who loots the item is its new owner.
6. Communications Policy
Confidentiality & Information Security
Warning
Everything in the `Intranet Communications` Discord category is confidential. Revealing this information to third parties is a Sackable Offence.
"Third parties" are defined as anyone who does not hold the @Member role, which explicitly includes @Contract Reps.
Contractor Communications
- @Contract Reps seeking non-urgent communication should use their designated thread in the
#contractsforum. - @Contract Reps requiring immediate assistance should join the
Live Liasionvoice channel.
7. Member Advancement & Promotions
Promotions are handled by Directors and reviewed by the Board. The decision to promote a member should be based on the following criteria:
- Commitment to Vulps Industries.
- Time spent operating on behalf of Vulps Industries.
- Depth of knowledge of industrial gameplay loops.
- How well they fit, and engage, with the community at large.
In short, frequently active members who know their shit and get on well with everyone should find themselves rising through the ranks relatively quickly.
